Windows Media Player will convert files to both formats as well. Not that I'm a big fan ;), but you probably have it anyway.

mp3Direct has no quality loss as it doesn't alter the mp3 file apart from the deletion or change you make. It doesn't sound right but that is their claim.

Nero is also a good software to do this kind of conversion.

I use Cdex. Great ripping program.

To convert I simply use foobar2000 which is my music player.
(Old school 0.0.4.5)

I also rip to .ogg not .mp3 but it is completely optional.

Audacity does fine with both.
